The CSSF launches eRIIS - a new secured web application to fulfil a wide range of filing obligations under the Transparency Law and the Market Abuse Regulation.

Issuers of securities or holders of securities subject to the law of 11 January 2008 on transparency requirements for issuers, as amended (the Transparency Law) and Regulation (EU) No 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse, as amended (the Market Abuse Regulation) are from now on required to fulfil their ongoing and periodic filing obligations through a new secured web platform, the so-called eRIIS (electronic Reporting of Information concerning Issuers of Securities).

The eRIIS platform, launched on 4 March 2022, is designed both as a regulatory filing system and a secure channel of communication with the Commission de Surveillance du Secteur Financier, the financial sector supervisory authority (the CSSF) thus replacing the current CSSF filing process via email.

Issuers and securities holders are required to use eRIIS to comply with their major legal filing requirements set out in the Transparency Law and the Market Abuse Regulation relating to, among others, notifications of major holdings, the election of the home Member State, annual financial reports, half-yearly reports, inside information, etc.

This new system will ensure greater effectiveness in the filing process by granting users the possibility to manage and follow-up on their regulatory filings and delegate administrative tasks to third parties by defining various levels of access rights for different users while benefitting at the same time from the highest standards of data protection. The eRIIS platform furthermore provides for advanced functionalities for the filing and validation of annual financial reports drawn up under the new European Single Electronic Format (ESEF) imposed by the Transparency Law which applies to annual financial reports drawn up for periods beginning on or after 1 January 2021.

In order to grant sufficient time to users to complete all administrative tasks necessary for accessing eRIIS, filings made through the traditional email route will be tolerated until 30 May 2022.
