The British Chamber of Commerce, in partnership with Baker McKenzie Luxembourg, is delighted to invite you to an upcoming event on the "Mobility Directive" which will take place on Thursday 21 March 2024 at 17:00 at Baker McKenzie Luxembourg office, 10-12 Blvd F. D. Roosevelt, L2450, Luxembourg.

Join us for an overview of the most important changes and practical challenges brought by the upcoming transposition of the Mobility Directive. We will also use this opportunity to analyze together how Luxembourg legislation intends to preserve the long-established, widely tested, and reliable frameworks for other reorganization operations (e.g., out of scope of the European cross-border mergers, demergers and conversions regime).

Directive (EU) 2019/2121 of the European Parliament and of the Council of 27 November 2019 ("Mobility Directive") (published on 12 December 2019 with a transposition deadline by EU member states of 31 January 2023) is considered as a further step for facilitating the implementation of mergers, demergers or transfers of registered offices within the single market. Its underlying principle is to adopt a more harmonized approach of the freedom of establishment, as interpreted by the Court of Justice of the European Union.

The draft bill aimed at implementing the Mobility Directive into Luxembourg law has not yet been passed. The draft bill aimed at amending the Luxembourg law on commercial companies dated 10 August 1915, as amended, proposes to introduce a specific and derogatory regime governing the European cross-border mergers, demergers and conversions, which is in line with the Mobility Directive
